Definitions

"Uncle Bill's"Uncle Bill's Recruitment Agency (Pty) Ltd, registration number 2025/000000/07, a company registered in the Republic of South Africa.
"Website"The website and all associated pages, subdomains, and digital properties operated by Uncle Bill's.
"Services"All recruitment, staffing, HR consulting, and related services offered by Uncle Bill's to Candidates and Clients.
"Candidate"Any individual who submits a CV, registers a profile, or seeks employment through Uncle Bill's.
"Client" / "Employer"Any company, organisation, or individual who engages Uncle Bill's to source, screen, or place Candidates.
"Placement"The successful engagement of a Candidate by a Client, whether on a permanent, contract, or temporary basis.
"Mandate"A formal instruction from a Client to Uncle Bill's to recruit for a specific role or roles.
"POPIA"The Protection of Personal Information Act, 4 of 2013, as amended from time to time.
"You" / "User"Any person or entity accessing the Website or using the Services, including Candidates and Clients.

Acceptance of Terms

By accessing or using our Website or Services, you confirm that you:

  • Are at least 18 years of age and have the legal capacity to enter into a binding agreement
  • Have read, understood, and agree to be bound by these Terms and our Privacy Policy
  • Are accessing the Website and Services for lawful purposes only
  • Where acting on behalf of a company or organisation, have the authority to bind that entity to these Terms

Use of This Website

You may use our Website for lawful purposes only. You agree not to:

  • Use the Website in any way that violates applicable South African or international laws or regulations
  • Transmit any unsolicited or unauthorised advertising or promotional material (spam)
  • Attempt to gain unauthorised access to any part of the Website, its servers, or connected systems
  • Introduce viruses, trojans, worms, logic bombs, or other malicious code to the Website
  • Scrape, crawl, or harvest data from the Website without our prior written consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Website to collect personal information about other users without their consent

We reserve the right to restrict, suspend, or terminate access to the Website at our sole discretion, without notice, for any conduct we determine to be in breach of these Terms.

Candidate Terms

4.1 Free Service
Our recruitment service is provided to Candidates entirely free of charge. You will never be asked to pay a fee to register, submit your CV, or be placed in a role through Uncle Bill's.

4.2 Accuracy of Information
By submitting your CV or personal information, you warrant that all information provided is accurate, complete, and not misleading. Uncle Bill's accepts no liability for unsuccessful placements arising from inaccurate information provided by a Candidate.

4.3 Consent to Representation
By submitting your CV, you authorise Uncle Bill's to represent you to prospective employers for relevant vacancies. We will always inform you before submitting your profile to a specific employer.

4.4 Exclusivity
Unless otherwise agreed in writing, our service to Candidates is non-exclusive. You remain free to seek employment through other channels simultaneously.

4.5 Background Checks
Certain positions may require background, credit, or criminal record checks. These will only be conducted with your explicit written consent and are governed by our Privacy Policy.

  • You must not misrepresent your qualifications, experience, or eligibility to work in South Africa
  • Providing false information may result in immediate termination of our representation
  • You are responsible for ensuring you hold any required professional registrations or licences

Employer / Client Terms

5.1 Mandate Agreement
All recruitment engagements are governed by a separate Mandate Agreement signed between the Client and Uncle Bill's. These Terms apply in addition to, and do not replace, any Mandate Agreement. In the event of a conflict, the signed Mandate Agreement shall prevail.

5.2 Accurate Briefing
Clients must provide Uncle Bill's with an accurate and complete brief for each vacancy, including role requirements, remuneration range, and any material information that may affect a Candidate's suitability.

5.3 Confidentiality of Candidates
Candidate profiles shared by Uncle Bill's are for the sole purpose of evaluating candidates for the specific role mandated. Clients agree:

  • Not to share Candidate information with any third party without Uncle Bill's written consent
  • Not to approach a Candidate introduced by Uncle Bill's for any other role without our knowledge
  • To handle all Candidate personal information in accordance with POPIA

5.4 Off-Limit Engagements
If a Client engages a Candidate introduced by Uncle Bill's β€” whether directly or through a third party β€” within 12 months of introduction, a placement fee is payable in accordance with the applicable Mandate Agreement.

Fees & Payment

  • Candidates: Our services are always free of charge for job seekers
  • Employers: Fees are charged as a percentage of the placed Candidate's annual guaranteed package (CTC), as specified in the Mandate Agreement
  • Invoices are payable within 30 days of the Candidate's start date, unless otherwise agreed in writing
  • All fees are quoted exclusive of VAT. VAT will be charged at the applicable rate where applicable
  • Overdue accounts may attract interest at the rate prescribed under the Prescribed Rate of Interest Act, 55 of 1975

Important: Fees become payable upon the Candidate's commencement of employment or engagement. The fee is not conditional on the Candidate completing any probationary period, unless a specific guarantee replacement clause is included in the Mandate Agreement.

Intellectual Property

All content on this Website β€” including text, graphics, logos, icons, images, layout, and code β€” is the property of Uncle Bill's Recruitment Agency (Pty) Ltd or its licensors and is protected by South African and international intellectual property laws.

  • You may not reproduce, distribute, modify, or republish any content from this Website without our prior written consent
  • You may not use our name, logo, or branding in any way that implies endorsement without written permission
  • You are permitted to print or download content for your own personal, non-commercial use only

Disclaimer of Warranties

Our Website and Services are provided on an "as is" and "as available" basis, without warranties of any kind. We do not warrant that:

  • The Website will be uninterrupted, error-free, or free of viruses or other harmful components
  • Any information on the Website is accurate, complete, or current at all times
  • A specific Candidate will be successfully placed, or that a specific role will be filled
  • Any Candidate introduced to a Client will perform to the Client's satisfaction

Uncle Bill's makes no guarantee of employment to any Candidate. The ultimate hiring decision rests with the Client employer.

Limitation of Liability

To the maximum extent permitted by South African law, Uncle Bill's shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages arising from your use of our Website or Services
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Damages arising from any Candidate's performance or conduct after placement
  • Losses arising from your reliance on any information provided on our Website

Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under South African law.

Indemnification

You agree to indemnify and hold harmless Uncle Bill's from any claims, liabilities, damages, losses, and expenses arising out of:

  • Your breach of these Terms or any applicable law or regulation
  • Any inaccurate, false, or misleading information you have provided to us
  • Your infringement of any intellectual property or other right of any person or entity
  • Your use of the Website or Services in a manner not permitted by these Terms

Third-Party Links

Our Website may contain links to third-party websites provided for convenience only. Uncle Bill's has no control over third-party sites, does not endorse them, and accepts no responsibility or liability for any loss arising from your use of third-party sites.

Termination

Uncle Bill's reserves the right to terminate or suspend your access to our Website and Services at any time, with or without notice, if we reasonably believe you have breached these Terms.

Candidates may withdraw from our services at any time by notifying us in writing at unclebillssa@gmail.com. Upon withdrawal, we will cease active representation and, upon request, delete your personal information in accordance with our Privacy Policy.

Clients may terminate a Mandate in accordance with the relevant Mandate Agreement. Fees earned prior to termination remain payable.

Governing Law & Jurisdiction

These Terms shall be governed by the laws of the Republic of South Africa. Any dispute shall be subject to the exclusive jurisdiction of the courts of South Africa, with the parties consenting to the jurisdiction of the KwaZulu-Natal High Court, Durban.

The parties agree to attempt to resolve any dispute amicably through good-faith negotiation before commencing formal proceedings.

Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date. Your continued use of our Website or Services after any changes constitutes your acceptance of the revised Terms.
